COMMONSPACE SPACE OWNER AGREEMENT

1. Introduction

This Space Owner Agreement ("Agreement") constitutes a legally binding supplemental agreement between you and Commonspace Platforms, Inc., a Delaware corporation ("Commonspace," "Company," "we," "us," or "our"). This Agreement governs your creation and operation of a Space on the Commonspace platform.

IMPORTANT: This Agreement is in addition to, and incorporates by reference, the Commonspace User Terms of Service, User Privacy Policy, and Community Guidelines. By creating a Space, you agree to ALL of these agreements. In the event of conflict, this Agreement controls with respect to your operation of a Space.

By creating a Space, you are establishing your own independent business or community on the Commonspace platform—similar to creating a store on Shopify or a site on WordPress. You, as the Space Owner, are responsible for your Space, your Members, your content, your products, and your compliance with applicable laws.

2. Your Relationship with Commonspace and Your Members

2.1 You Are an Independent Operator

You understand and agree that:

• You operate your Space as your own independent business or community

• Commonspace provides the technology platform—you provide the content, products, and services

• You are NOT an employee, agent, franchisee, or partner of Commonspace

• Members who join your Space are YOUR customers, not Commonspace's customers

• You are solely responsible for your relationships with your Members

2.2 Primary Customer Relationship

Your Space's Members are your customers. Commonspace's primary customer relationship is with you, the Space Owner. When Members purchase Memberships or Items from your Space, they enter into a transaction with YOU—Commonspace facilitates the transaction but is not a party to it.

This means:

• You set prices, terms, and policies for your Space

• You are responsible for delivering Benefits and fulfilling promises

• You handle Member support, questions, and complaints

• You set and enforce refund policies

• You comply with consumer protection laws

2.3 Support Responsibilities

You are responsible for providing support to your Members. Commonspace provides support to Space Owners regarding the platform, but Commonspace does NOT provide direct support to your Members regarding your Space, content, products, or services.

• You must provide a way for Members to contact you for support

• You must respond to Member inquiries in a reasonable timeframe

• Commonspace may refer Members to you for Space-specific issues

• Commonspace provides Space Owners with platform support at https://help.common.space

3. Eligibility

To create and operate a Space, you must:

• Be at least 18 years old or the age of majority in your jurisdiction

• Have a valid Commonspace Account in good standing

• Have the legal authority to enter into this Agreement

• Comply with all applicable laws in your jurisdiction

• Not be prohibited from receiving payment services under applicable law

• Not operate a prohibited business type (see Community Guidelines)

4. Creating and Operating Your Space

4.1 Space Setup

When creating your Space, you will provide:

• Space name, @username, and description

• Profile and background images

• Country setting (determines currency and payment setup—cannot be changed)

• Timezone and language settings

You may customize your Space with branding, themes, and (for Pro Spaces) custom domains.

4.2 Space Features

As a Space Owner, you may:

• Create Memberships (free, one-time, or subscription) and Items

• Configure Benefits (Access, Downloads, Redemptions, Integrations)

• Publish Updates and Benefits Posts

• Create Channels for Member discussions

• Set up Access Groups to control content visibility

• Create Member Questions to collect custom information

• Enable Member Directory for Members to connect

• Add Team Accounts to help manage your Space

4.3 Space Plans

Basic Space (Free): Free for up to 100 monthly active members ($0.01/additional member, $1 minimum). 1GB storage. Commonspace branding. 15% + payment processing on sales.

Pro Space ($29 USD/month, varying by country): Includes 3,000 monthly active members ($0.01/additional). Custom domain, branding, and themes. 30GB storage. 10% + payment processing on sales. Priority support.

5. Your Responsibilities as a Space Owner

As a Space Owner, you are solely responsible for:

5.1 Content and Products

• All content you post in your Space

• All Products (Memberships and Items) you offer

• Accuracy of product descriptions and pricing

• Delivering Benefits as promised

• Fulfilling physical redemptions and services

• Obtaining necessary rights and licenses for content you post

5.2 Legal Compliance

• Compliance with all applicable laws in your jurisdiction and your Members' jurisdictions

• Consumer protection laws and regulations

• Tax obligations (collecting and remitting sales tax, VAT, etc.)

• Data protection and privacy laws (GDPR, CCPA, etc.)

• Intellectual property laws

• Industry-specific regulations applicable to your Space

5.3 Member Relations

• Managing your relationship with your Members

• Responding to Member inquiries and complaints

• Establishing and honoring your refund policy

• Communicating changes that affect your Members

• Moderating your Space and enforcing your community rules

5.4 Space Terms and Privacy Policy

You should establish your own Terms of Service and Privacy Policy for your Space, informing Members of your policies, data practices, and their rights. Commonspace provides templates, but you are responsible for customizing them for your specific Space and ensuring legal compliance.

6. Member Data and Privacy

6.1 Data You Receive

When Members join your Space, you receive access to:

• Name and email address

• Profile information (based on Member settings)

• City/location (for regulatory compliance)

• Answers to your Member Questions

• Purchase history and Membership status within your Space

• Activity and engagement within your Space

6.2 Your Data Obligations

You are a data controller for Member data you collect. You agree to:

(a) Use Member data only for purposes related to operating your Space and serving your Members

(b) Protect Member data using appropriate security measures

(c) Comply with all applicable privacy and data protection laws

(d) NOT sell, lease, or transfer Member data to third parties for their marketing purposes

(e) Respect Member privacy preferences and data rights

(f) Respond to Member data access, correction, and deletion requests

(g) Have a Privacy Policy that discloses your data practices to Members

6.3 Data Access Limitations

When a Member leaves your Space, you no longer have access to their current data. If a Member deletes their Commonspace Account, their previous data becomes inaccessible to you.

7. Payments, Fees, and Stripe Connect

7.1 Stripe Connect

Commonspace uses Stripe Connect to facilitate payments. To sell Products and receive payouts, you must create and maintain a Stripe Connected Account.

By using payment features, you agree to Stripe's terms, including the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal) and Stripe Services Agreement (https://stripe.com/legal). These are incorporated by reference.

7.2 Connected Account

By connecting your Stripe account, you authorize Commonspace to:

(a) Create and manage a Connected Account on your behalf

(b) Accept payments from Members on your behalf

(c) Deduct applicable fees before transferring funds

(d) Initiate refunds and handle chargebacks

(e) Share information with Stripe for verification and compliance

7.3 Identity Verification

You must provide accurate information for Stripe's identity verification (KYC), including legal name, date of birth, address, tax ID, and bank information. Incomplete verification may result in delayed or suspended payouts.

7.4 Payouts

Payouts transfer to your designated bank account according to Stripe's schedule (typically 2-7 business days, varying by country). Payout timing may be affected by weekends, holidays, risk review, and verification status.

7.5 Fees

Platform Fees: 15% of transaction amount for Basic Spaces; 10% for Pro Spaces.

Payment Processing Fees: Stripe's fees for Connected Accounts in the US (currently, 2.9% + $0.30 USD per transaction for credit cards). For Connected Accounts outside the US, Stripe’s fees vary by country. See https://stripe.com/pricing.

All fees are deducted before payout. Additional fees may apply for currency conversion, cross-border transactions, or instant payouts.

7.6 Reserves and Holds

Commonspace and/or Stripe may place reserves on your funds to cover potential refunds, chargebacks, or other liabilities based on transaction history, chargeback rates, or risk factors.

7.7 Negative Balances

If your account has a negative balance (from refunds, chargebacks, or fees), you authorize Commonspace and Stripe to deduct from future payouts, charge your linked bank account, or pursue collection.

7.8 Refunds and Chargebacks

You are responsible for:

• Establishing and communicating your refund policy to Members

• Honoring your refund policy

• Responding to chargeback inquiries and providing documentation

• All costs from chargebacks (disputed amount + fees)

• Maintaining chargeback rates within acceptable thresholds

Excessive chargebacks may result in reserves, delayed payouts, or account termination.

7.9 Taxes

You are responsible for determining, collecting, and remitting all applicable taxes (sales tax, VAT, GST, income tax, etc.). Commonspace and/or Stripe may issue tax reporting forms (1099-K, etc.) as required by law.

7.10 Currency

Your Space's country setting determines your currency. Commonspace supports USD and JPY. Cross-currency transactions are subject to Stripe's exchange rates and conversion fees.

8. Content

8.1 Your Space Content

You retain ownership of content you create for your Space. By posting content, you grant Commonspace a license to use, display, and distribute it as necessary to provide the Services.

8.2 Member Content in Your Space

Members who post in your Space (Channels, comments) grant you a license to display that content within your Space. You are responsible for moderating Member content and removing content that violates your rules or the Community Guidelines.

8.3 Prohibited Content

Your Space must comply with the Community Guidelines. You may not use your Space for prohibited content or business types. You must remove prohibited content posted by Members.

9. Space Moderation

You are responsible for moderating your Space, including:

• Establishing community rules for your Members

• Enforcing your rules consistently

• Removing content that violates your rules or Community Guidelines

• Managing Member access and removing problematic Members

• Responding to reports of violations

Commonspace may intervene in your Space for serious violations of the Community Guidelines, including removing content or Members.

10. Team Accounts

You may grant Team Account access to others to help manage your Space. You are responsible for:

• All actions taken by your Team Accounts

• Ensuring Team members comply with this Agreement

• Properly restricting and revoking Team access

• Team members' handling of Member data

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, SPECIFIC TRANSACTION VOLUMES, MEMBER GROWTH, OR REVENUE.

We are not responsible for:

• Your transactions with Members

• Member conduct or content

• Stripe's services, decisions, or availability

• Delayed or withheld payouts

• Chargebacks or disputes

• Third-party services or integrations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMONSPACE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) PLATFORM FEES PAID BY YOU IN THE PAST 12 MONTHS, OR (B) $100.

This includes liability for: lost revenue or profits; Member disputes; chargebacks; Stripe decisions; payment delays; or business interruption.

13. Indemnification

You agree to indemnify and hold harmless Commonspace from claims, damages, losses, and expenses arising from:

(a) Your operation of your Space

(b) Your content and Products

(c) Your transactions with Members

(d) Your violation of this Agreement or applicable law

(e) Your infringement of third-party rights

(f) Chargebacks, refunds, or disputes

(g) Your handling of Member data

(h) Actions of your Team Accounts

14. Termination

14.1 Termination by You

You may close your Space at any time. Before closing, you should:

• Fulfill outstanding obligations to Members

• Communicate closure plans to Members

• Handle any pending refund requests

• Resolve pending transactions

14.2 Termination by Commonspace

We may suspend or terminate your Space for:

• Violation of this Agreement or Community Guidelines

• Excessive chargebacks or disputes

• Stripe account termination or restrictions

• Prohibited business activities

• Fraud or illegal activity

• At our discretion with reasonable notice

14.3 Effect of Termination

Upon termination:

• Your Space becomes inaccessible

• Members lose access to your Space

• Outstanding payouts will be transferred, less reserves for potential refunds/chargebacks

• Reserves may be held for 90-180 days

• Your Connected Account may also be terminated

15. General Provisions

This Agreement incorporates the User Terms of Service, User Privacy Policy, Community Guidelines, and Stripe agreements. Governing law, arbitration, and other general provisions in the User Terms of Service apply here.
