1. Introduction and Acceptance of Terms

Welcome to Commonspace! These User Terms of Service ("Terms," "User Terms," or "Agreement") constitute a legally binding agreement between you and Commonspace Platforms, Inc., a Delaware corporation ("Commonspace," "Company," "we," "us," or "our"). These Terms govern your access to and your use of our websites (including common.space and all related subdomains), our mobile applications for iOS and Android (the "Mobile App"), our APIs, and any related services (collectively, the "Services").

Commonspace is a community platform and social network that enables you to create a personal Profile, post content, follow other users, join community Spaces, and connect with others. Think of Commonspace as combining the social features of Facebook and Instagram with the community membership features of Patreon—all in one platform.

BY USING THE SERVICES, ACCESSING THE SERVICES, OR USING THE MOBILE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND OUR COMMUNITY GUIDELINES. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICES.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Additional Agreements

These User Terms apply to all users of Commonspace. Additional terms may apply depending on how you use the Services:

Space Owner Agreement: If you create or administer a Space, you agree to the additional Commonspace Space Owner Agreement, which governs your operation of a Space and your responsibilities to your Members.

Space-Specific Terms: When you join a Space, you may be required to agree to that Space's own Terms of Service, Privacy Policy, and other agreements established by the Space Owner.

Stripe Terms: When you make purchases, you agree to Stripe's terms of service for payment processing.

In the event of conflict between these User Terms and any additional agreements, the additional agreements shall govern with respect to the specific subject matter they cover.

3. Definitions

For purposes of these Terms:

"Account" means your registered user account on Commonspace.

"Benefits" means features, content, goods, services, or other value provided through Products, including Access, Downloads, Redemptions, and integrations.

"Channels" means discussion areas within a Space where Members can post and interact.

"Content" means any text, images, photos, videos, audio, graphics, documents, or other materials uploaded, posted, or shared through the Services.

"Feed" means the aggregated, chronological display of Posts from users you follow and Spaces you are a Member of, accessible through the Services.

"Items" means non-Membership products offered within a Space.

"Members" means users who have joined a specific Space by acquiring a Membership.

"Memberships" means products that allow users to join a Space, which may be free, and or require payment.

"Mobile App" means the Commonspace Service available for iOS and Android devices.

"Posts" means content published by users, including, but not limited to, Profile Posts (on your personal Profile), Channel Posts (in Space Channels), Update Posts (by Space Owners), and Benefits Posts.

"Products" means Memberships and Items offered through Spaces.

"Profile" means your personal page on Commonspace, including, but not limited to, your @username, profile image, bio, posts, and social information.

"Profile Posts" means content you publish to your personal Profile, visible to your followers and the public (based on settings), similar to posts on Facebook or Instagram.

"Space" means a community website created and operated by a Space Owner on the Platform, similar to a Facebook Group but as a full independent website.

"Space Owner" means a user who creates and operates a Space.

"User" means any individual who uses the Services.

4. Eligibility and Account Registration

4.1 Age Requirements

To create an Account and use the Services, you must be at least 18 years of age if you are located in the United States, or the age of majority in your jurisdiction if you are located outside the United States. The Services are not intended for anyone who does not meet these age requirements. By creating an Account, you represent and warrant that you are of legal age to form a binding contract in your jurisdiction.

4.2 Account Creation

To create an Account, you must provide the following minimum information:

  • Email address (for login and communications)

  • First name and last name

  • Birthdate (kept private, used for age verification and regulatory compliance)

  • City (kept private, used for regulatory compliance)

  • Preferred language

  • Password (8+ characters with a symbol and number)

You agree to:

(a) Provide accurate, current, and complete information;
(b) Verify your email address through our confirmation process;
(c) Maintain and promptly update your Account information;
(d) Maintain the security and confidentiality of your login credentials. You may log in to your Account using email and password, two-factor authentication (via authenticator app or SMS), social login (via supported OAuth providers such as Google, Facebook, Apple, or X), or magic links sent to your registered email address. We recommend enabling two-factor authentication for additional account security;
(e) Accept responsibility for all activities under your Account;
(f) Immediately notify us of any unauthorized use.

You may not use another person's Account, create multiple Accounts for fraudulent purposes, or share your credentials.

4.3 Username and Profile

When you create an Account, you select a unique @username. Your default profile URL is common.space/@username. Your Profile may include: profile image, background image, display name, pronouns, bio, social media links (X/Twitter, Instagram, Facebook, TikTok, LinkedIn, Twitch, website), featured links, and a "Top 8" of connections.

We reserve the right to reclaim, modify, or reassign usernames that are inactive, trademarked, or violate our policies.

5. Using the Services

5.1 Your Profile and Social Features

Your Commonspace Profile is your personal presence on the platform, similar to an Instagram or Facebook profile. You may:

  • Post Content to your Profile (Profile Posts) for your followers to see

  • Follow other users and Spaces

  • View your Feed of posts from people you follow and Spaces you've joined

  • Like, comment on, and share posts

  • Feature friends in your "Top 8"

  • Link your social media accounts

Your Feed displays content chronologically—we do not use ad-driven algorithms to manipulate what you see.

5.2 Mobile App

The Commonspace Mobile App (available on iOS and Android) allows you to:

  • View your aggregated Feed of posts from followed users and Spaces

  • Create and publish Profile Posts

  • Browse and interact with Spaces you've joined

  • Receive notifications about activity

  • Manage your Account and Profile

The Mobile App is subject to the applicable app store terms (Apple App Store Terms of Service or Google Play Terms of Service). Some features may only be available on the web platform.

5.3 Joining Spaces

Spaces are community websites created by Space Owners on the Commonspace platform. When you join a Space by acquiring a Membership (free or paid), you become a Member of that Space. As a Member, you may:

  • Access Members-only content and Updates

  • Participate in Channels (discussion areas)

  • Access Benefits included with your Membership

  • Purchase Items for additional Benefits

  • Appear in Member Directories (based on Space settings)

  • Connect with other Members

Each Space is independently operated by its Space Owner. When you join a Space, you enter a direct relationship with that Space Owner, and may be required to agree to their Space-specific Terms of Service, Privacy Policy, and other agreements. Space Owners are responsible for their content, products, and Member support—not Commonspace.

5.4 Creating a Space

Any user may create a Space and become a Space Owner. Creating a Space is subject to the separate Commonspace Space Owner Agreement, which contains additional terms, responsibilities, and requirements for operating a Space, including payment processing through Stripe Connect.

6. Purchases and Payments

6.1 Transactions with Space Owners

When you purchase a Product from a Space, you are entering into a transaction directly with the Space Owner, not with Commonspace. Commonspace facilitates these transactions through our platform and payment processor (Stripe) but is not a party to your agreement with the Space Owner.

You acknowledge that:
(a) Prices, terms, and availability are set by Space Owners;
(b) Benefits and fulfillment are the responsibility of the Space Owner;
(c) Refund policies are set by Space Owners;
(d) Disputes should first be addressed with the Space Owner.

6.2 Payment Processing

Payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your payment card information—it is processed and secured by Stripe.

6.3 Subscription Billing

For subscription billings, you authorize automatic recurring charges at the interval specified (monthly, quarterly, or annually) until you cancel. You may cancel anytime through your Account settings. Cancellation takes effect at the end of your current paid period.

6.4 Refunds

Refund policies are determined by individual Space Owners. Contact the Space Owner directly for refund requests. Commonspace may facilitate refunds at a Space Owner's direction but is not responsible for Space Owner refund policies.

6.5 Currency

Commonspace supports multiple currencies, including USD and JPY. Prices are displayed in the currency set by the Space Owner. Currency conversion fees may apply for international transactions.

7. Content and Conduct

7.1 Your Content

You retain ownership of Content you create and upload. By posting Content, you grant Commonspace a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content in connection with operating the Services.

When you post Content in a Space, you also grant the Space Owner a license to use and display that Content within their Space.

You represent that you own or have the necessary rights to your Content and that it does not infringe any third-party rights or violate any laws.

7.2 Community Guidelines

All users must comply with our Community Guidelines, which are incorporated into these Terms by reference. The Community Guidelines describe expected conduct, and prohibited activities on the platform. Violations may result in content removal, account suspension, or termination.

7.3 Prohibited Content and Activities

Without limiting the Community Guidelines, you agree not to:

  • Post illegal, fraudulent, or deceptive content

  • Harass, bully, threaten, or discriminate against others

  • Post hate speech or content promoting violence

  • Post sexually explicit content involving minors

  • Infringe intellectual property or privacy rights

  • Distribute malware or harmful code

  • Spam or send unsolicited promotions

  • Impersonate others or create fake accounts

  • Attempt to hack or circumvent security measures

  • Scrape or collect user data without authorization

  • Interfere with the Services or other users' enjoyment

7.4 Enforcement

We may, at our sole discretion, remove Content, issue warnings, suspend access, or terminate Accounts for violations. We have no obligation to monitor Content but reserve the right to do so.

8. Intellectual Property

8.1 Commonspace IP

The Services, including the Platform, Mobile App, software, design, logos, trademarks (including "Commonspace" and the Commonspace logo), and all other intellectual property are owned by Commonspace or our licensors. You may not copy, modify, distribute, sell, or create derivative works without written permission.

8.2 Copyright and DMCA

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe Content on the Services infringes your copyright, you may submit a written takedown notice to our designated Copyright Agent:

Your notice must include all of the following:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.

  2. Identification of the copyrighted work claimed to have been infringed.

  3. Identification of the material claimed to be infringing and sufficient information to locate it on the Services (e.g., a URL).

  4. Your name, address, telephone number, and email address.

  5. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.

  6. A statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

Counter-Notifications. If you believe your Content was removed in error, you may submit a counter-notification to the Copyright Agent at the address above. Your counter-notification must include:

  1. Your physical or electronic signature.

  2. Identification of the Content that was removed and its location on the Services before removal.

  3. A statement under penalty of perjury that you have a good faith belief the Content was removed as a result of a mistake or misidentification.

  4. Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or Los Angeles, California if you are located outside the United States), and that you will accept service of process from the person who submitted the original takedown notice.

We will reinstate removed Content within 10 to 14 business days of receiving a valid counter-notification, unless the original claimant notifies us that they have filed a court action seeking to restrain the activity.

Repeat Infringers. It is our policy to terminate the Accounts of users who are repeat copyright infringers in appropriate circumstances.

8.3 Feedback

If you provide feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation or attribution.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, incorporated into these Terms by reference. Key privacy features include:

  • Your birthdate and city are kept private

  • Feeds are chronological, not ad-driven algorithmic

  • We do not sell your personal information

  • Payment information is processed by Stripe, not stored by us

When you join a Space, certain information is shared with the Space Owner as described in our Privacy Policy.

10. Third-Party Services

The Services integrate with third-party services, including Stripe (payments), Discord, Zoom, Shopify (integrations), and social media platforms. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

The Mobile App is distributed through the Apple App Store and Google Play Store. Your download and use of the Mobile App is also subject to those stores' terms of service.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free. We do not endorse or guarantee Content posted by users or Products offered by Space Owners.
